  13.    This file contains information for Shareware Distributors, Disk Vendors,
  14.    Electronic Bulletin Board Systems (BBS), Computer Clubs, User Groups,
  15.    and others who wish to distribute the WinPak#1.

  34.    As the exclusive copyright holder for WinPak#1, Rhode Island Soft         
  35.    Systems authorizes printed catalog, and electronic (BBS) on-line 
  36.    distribution only in accordance with the following restrictions.  
  37.    (CD-ROM and "rack" vendors refer to following section).
  38.                                                                              
  39.        o  The WinPak#1 package is defined as containing all the                     
  40.           material listed in the PACKING.TXT text file.  If any files               
  41.           listed in the PACKING.TXT text file, or the PACKING.TXT file              
  42.           itself, are missing, then the package is not complete and                 
  43.           distribution is forbidden.  In such an event, please contact 
  44.           Rhode Island Soft Systems, Inc. to obtain a complete package 
  45.           suitable for distribution.

  47.        o  The WinPak#1 package - including all related program               
  48.           files and documentation files - CANNOT be modified in any          
  49.           way (other than that mentioned in the following paragraph)         
  50.           and must be distributed as a complete package, without             
  51.           exception.  The PACKING.TXT text file contains a list of           
  52.           all files that are part of the WinPak#1 package.

  62.        o  Many BBSs customarily add a small text file                        
  63.           (advertisement) to each archived file.  This text file             
  64.           describes the BBS and tells people that the file was               
  65.           downloaded from that particular BBS.  Other BBSs add a             
  66.           small one-line message with their BBS name and phone               
  67.           number into the compressed file, which will display when           
  68.           the file is uncompressed.  Either of these methods of              
  69.           mentioning your BBS are acceptable and may be used,                
  70.           provided the program and documentation is otherwise                
  71.           unmodified and complete.

  73.        o  Small additions to the package, such as the introductory
  74.           or installation batch files used by many shareware disk
  75.           vendors, are acceptable so long as they identify themselves
  76.           as being added by the distributor, and not part of WinPak#1.
  77.           The files may be archived into a single distribution file
  78.           in accordance with the restrictions listed in DESCRIBE.TXT
  79.           (ie. archive's filename).

  81.        o  No price or other compensation may be charged for the WinPak#1
  82.           package.  A distribution fee may be charged for the cost of the
  83.           diskette, shipping, and handling, as long as the total (per disk)
  84.           does not exceed US$8.00 in the U.S. and Canada, or US$12.00
  85.           Internationally.

  87.        o  In order to maximize resources, Vendors often provide several 
  88.           different programs/packages on a single disk -- this is perfectly 
  89.           acceptable to Rhode Island Soft Systems, Inc.  We require that
  90.           the WinPak#1 files be bundled in such a way as to be presented 
  91.           as distinct and separate from those of other packages.  Archiving
  92.           our distribution files into a single file (in accordance with 
  93.           guidelines set forth in DESCRIBE.TXT) is a suggested method of 
  94.           accomplishing this goal.
  95.        
  96.        o  Rhode Island Soft Systems prohibits the distribution of            
  97.           outdated versions of the WinPak#1 package, without written         
  98.           permission from Rhode Island Soft Systems.  If the version         
  99.           you have obtained is over nine (9) months old, please            
  100.           contact us to ensure that you have the most current                
  101.           version. Please see the release date at the top of this file.

  103.        o  Distributors carrying WinPak#1 must inform Rhode Island
  104.           Soft Systems, Inc. of the intent to distribute WinPak#1 (a
  105.           post card will suffice) and must cease distribution immediately
  106.           upon receipt of a written request from Rhode Island Soft 
  107.           Systems, Inc. (should we request cessation of distribution).
  108.           
  109.        o  The PRINTED User's Guide may not be reproduced in whole or in 
  110.           part, using any means, without the written permission of Rhode 
  111.           Island Soft Systems.  In other words, the disk-based documentation 
  112.           may not be distributed in PRINTED (hardcopy) form.

  121.        o  You may not list any of our products in advertisements, catalogs, 
  122.           or other literature which describes our products as "FREE SOFTWARE".
  123.           Shareware is "Try-Before-You-Buy" software, it is not free.

  125.        o  The WinPak#1 package CANNOT be sold as part of some other inclusive 
  126.           package.  Nor can it be included in any commercial software 
  127.           packaging offer, without a written agreement from Rhode Island 
  128.           Soft Systems.
  129.        
  130.        o  Licensee shall not use, copy, rent, lease, sell, modify,           
  131.           decompile, disassemble, otherwise reverse engineer, or             
  132.           transfer the licensed program except as provided in this           
  133.           agreement.  Any such unauthorized use shall result in              
  134.           immediate and automatic termination of this license.               
  135.                                                                              
  136.        o  U.S. Government Information:  Use, duplication, or                 
  137.           disclosure by the U.S. Government of the computer software         
  138.           and documentation in this package shall be subject to the          
  139.           restricted rights applicable to commercial computer                
  140.           software as set forth in subdivision (b)(3)(ii) of the             
  141.           Rights in Technical Data and Computer Software clause at           
  142.           252.227-7013 (DFARS 52.227-7013).  The                             
  143.           Contractor/manufacturer is Rhode Island Soft Systems, Inc.

  147.    CD-ROM and/or "Rack" Vendors:

  150.       o   Any distributor who wishes to include WinPak#1 on a CD-ROM
  151.           must contact Rhode Island Soft Systems, Inc. for explicit,
  152.           individual permission prior to any such inclusion.

  154.       o   Any distributor wishing to package WinPak#1 on disks(s) for
  155.           sale in retail establishments ("Rack" Vendors), or on any other
  156.           such "point of purchase" display,  must contact Rhode Island Soft 
  157.           Systems, Inc. for explicit, individual permission prior to any 
  158.           such distribution.

  160.       o   It is the policy of Rhode Island Soft Systems, Inc. to require
  161.           royalty payments for sales of products containing WinPak#1 by
  162.           CD-ROM and "Rack" vendors.

  164.       o   CD-ROM and "Rack" Vendors must adhere to all items in the 
  165.           previous section.

  168.    All rights not expressly granted here are reserved to Rhode Island        
  169.    Soft Systems, Inc.
